Scope-Sense Subscription Terms and Conditions

These terms apply when an organization buys or uses the Scope-Sense digital service, including early-access features, Ask Benjamin, AI-assisted takeoff, documentation search, subcontractor records, and project storage.

1. Parties and Acceptance

These terms form an agreement between West-Edge Cost Consulting and the person, company, trust, partnership, sole trader, or other organization that buys, accesses, administers, invites users to, or uses Scope-Sense. By ticking the checkout acknowledgement, starting a Stripe checkout, paying an invoice, accepting an invite, or using the service, you confirm that you have authority to bind your organization and that your organization accepts these terms.

If you do not accept these terms, do not buy or use Scope-Sense. If you use Scope-Sense on behalf of a client, employer, contractor, or related entity, you are responsible for ensuring that they also understand the limits of the service.

2. Service Description

Scope-Sense is a browser-based construction takeoff, project documentation, workbook, AI assistance, and subcontractor workflow service. During early access, the service may include drawing storage, document search, Ask Benjamin, AI-assisted dimension group creation, fact-checking assistance, workbook exports, tender and subcontractor tools, beta BIM tooling, and related project controls.

Features can change, be renamed, be temporarily unavailable, be rate limited, or be withdrawn. Early-access and beta features are provided for practical use and feedback, but they are not guaranteed to be complete, stable, compatible with every file, or suitable for every project.

3. Subscription, GST, and Billing

The standard monthly subscription price is AUD $284.00 plus GST per concurrent Scope-Sense licence, unless a different written offer applies. Stripe processes card and other supported payments. The subscription renews monthly until cancelled through the billing portal or another approved West-Edge process.

You must keep billing details accurate and ensure payments are authorised. If payment fails, access to paid features may be suspended, restricted, or cancelled. Taxes, levies, bank charges, currency conversion costs, and payment provider charges are your responsibility unless stated otherwise.

4. Flexible Pool Licensing

One paid licence allows one concurrent Scope-Sense editor. Each licence includes a named-user pool of up to 10 invited organization users. For example, one licence permits up to 10 named users; two licences permit up to 20 named users. The pool is intended to let users work in turns, not to allow unlimited access.

You are responsible for managing invited users, removing users who no longer need access, protecting logins, and ensuring users comply with these terms. West-Edge may enforce concurrency, pool, storage, AI, fair-use, abuse, or security limits in the application and may adjust enforcement to protect the service.

Seats are subject to availability, payment status, organization role controls, and any technical concurrency checks in the product. If a team needs more people working at the same time, the organization must buy additional concurrent licences rather than treating the named-user pool as additional paid seats.

5. Organization Responsibility

Your organization is solely responsible for its projects, estimates, rates, quantities, assumptions, revisions, tender documents, subcontractor records, submissions, contract decisions, project management decisions, and communications. You must use competent human review before relying on any Scope-Sense output.

You are responsible for verifying drawing scales, dimensions, units, document versions, model information, formulas, workbook rows, subcontractor details, Ask Benjamin citations, AI-generated suggestions, and exported results. Scope-Sense is an aid to workflow, not a substitute for professional judgement.

6. AI and Generated Outputs

AI features, including Ask Benjamin, AI-assisted takeoff, fact-checking prompts, document summaries, and suggested dimension groups, may produce incomplete, inconsistent, outdated, hallucinated, biased, or incorrect outputs. AI outputs can be incomplete and may vary between runs; they may not identify every relevant document, drawing note, rate, exclusion, risk, or conflict.

You must not treat AI outputs as final advice, certified quantities, contract instructions, legal advice, engineering advice, building-code advice, or guaranteed estimates. You must review source documents and obtain appropriate professional advice where required.

7. Data, Storage, Capacity, and Backups

Scope-Sense may store uploaded documents, project metadata, workbooks, takeoff data, settings, audit data, and user activity. West-Edge uses reasonable security and operational controls, but no cloud service can guarantee that data will never be lost, corrupted, delayed, unavailable, mistakenly deleted, or affected by user error, third-party outages, malware, network faults, or software defects.

The subscription includes an organization storage allowance for active Scope-Sense project files and generated project records. Storage is not an unlimited archive. Uploads, imports, exports, AI processing, and document indexing may be limited, queued, rejected, or paused when usage approaches or exceeds configured capacity, fair-use thresholds, file limits, payment status, or security controls.

If your organization needs more storage, higher throughput, larger files, or materially heavier AI/document processing than the standard subscription is designed for, West-Edge may ask you to reduce usage, remove stale files, split work into supported projects, buy additional capacity, or agree to a separate written arrangement. West-Edge is not required to provide unbounded storage, processing, or support beyond the subscribed plan.

You are responsible for keeping your own backups of source documents, issued estimates, contract records, tender records, and any business-critical outputs. Do not use Scope-Sense as your only archive for documents or information that you cannot afford to lose.

8. Availability, Support, and Changes

Scope-Sense is provided on a commercially reasonable basis. It may be unavailable because of maintenance, deployment, third-party services, payment provider issues, AI provider issues, browser incompatibility, file corruption, network problems, security events, or faults. West-Edge may monitor, patch, suspend, or change the service to maintain security, performance, compliance, or reliability.

Support is provided at West-Edge's discretion and may depend on subscription status, severity, available information, and whether your users follow supported workflows.

9. Security and Acceptable Use

You must not bypass security controls, share accounts, attack the service, scrape beyond normal use, upload unlawful material, upload malware, interfere with other tenants, misrepresent subcontractor information, breach privacy obligations, or use Scope-Sense for illegal, unsafe, or deceptive activity. You must promptly notify West-Edge of suspected compromise, unauthorized access, or data exposure.

West-Edge may suspend or terminate access immediately if it reasonably believes there is a security risk, legal risk, payment issue, misuse, excessive load, or breach of these terms.

10. Confidentiality and Privacy

Each party must handle confidential information with reasonable care. West-Edge may process uploaded and generated data to provide, secure, troubleshoot, monitor, improve, and support Scope-Sense. Personal information is handled under the West-Edge privacy policy and applicable law.

You must ensure that you have the right to upload, process, share, and invite others to access documents, subcontractor details, personal information, and project information in Scope-Sense.

11. Intellectual Property

West-Edge and its licensors retain ownership of Scope-Sense, software, workflows, designs, code, templates, prompts, documentation, indexes, generated system metadata, and service improvements. Your organization retains ownership of its uploaded project documents and business data, subject to the rights needed for West-Edge to operate the service.

You receive a limited, non-exclusive, non-transferable right to use Scope-Sense during an active subscription, for your internal business purposes, and only in accordance with these terms.

12. Disclaimers

To the maximum extent permitted by law, Scope-Sense is provided as is and as available. West-Edge does not warrant that the service will be uninterrupted, error free, secure against every threat, compatible with every browser or file, fit for a particular project, or that AI, takeoff, workbook, subcontractor, or search outputs will be accurate, complete, current, or suitable for reliance.

Nothing in these terms excludes, restricts, or modifies any right or guarantee that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

13. Liability Limits

To the maximum extent permitted by law, West-Edge is not liable for lost profit, lost revenue, lost opportunity, lost productivity, business interruption, delay, loss of goodwill, loss or corruption of data, rework, tender loss, contract loss, subcontractor issues, inaccurate estimates, AI variation, software bugs, or indirect, consequential, special, exemplary, or punitive loss.

To the maximum extent permitted by law, West-Edge's aggregate liability for claims relating to Scope-Sense is limited to the fees paid by your organization for Scope-Sense in the three months before the event giving rise to the claim. Where a non-excludable law applies, West-Edge's liability is limited, where lawful, to resupplying the service or refunding the cost of the affected service.

14. Indemnity

Your organization indemnifies West-Edge against claims, losses, liabilities, costs, and expenses arising from your users, uploaded content, project decisions, estimates, reliance on outputs, breach of these terms, breach of law, infringement of third-party rights, or misuse of Scope-Sense, except to the extent caused by West-Edge's proven unlawful conduct.

15. Cancellation and Termination

You may cancel future subscription renewals through the billing portal or an approved West-Edge support channel. Fees already paid are not refundable except where required by law or expressly agreed in writing. West-Edge may suspend or terminate the service for breach, non-payment, security risk, misuse, or if the service is discontinued.

After termination, access may be disabled and data may be retained or deleted according to operational, legal, backup, and retention requirements. Export important records before cancellation where possible.

16. Governing Law

These terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria and any courts entitled to hear appeals from them, unless another mandatory law applies.
